Welcome to NoteAi! These Terms of Use ("Terms") govern your use of the NoteAi platform, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and enter into a legally binding contract with NoteAi ("we," "us," or "our").
NoteAi is an AI-powered platform designed to transcribe, summarize, and organize audio, video, and text content into knowledge bases.
Eligibility: You may only use the Service if you can form a binding contract with NoteAi and are not legally prohibited from using the Service. By using the Service, you represent and warrant that you have the full right, power, and authority to agree to and perform your obligations under these Terms.
Business Use: If you use the Service on behalf of an organization (e.g., your employer), you represent that you are authorized to bind that organization to these Terms. In that case, "you" and "your" will refer to both you and that organization.
Age Requirement: The Service is not intended for children under 13 (or the minimum legal age in your jurisdiction). If you are under this age, you may not use the Service.
License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service.
Account Security: You are responsible for all activity that occurs under your account. You must safeguard your password and not share your account credentials with others.

Anti-Discrimination: NoteAi does not tolerate the use of its Service to discriminate against others based on race, religion, sex, sexual orientation, age, disability, or nationality.
Your Content: You retain ownership of any content you upload, import, or generate on NoteAi ("User Content"). You grant us a worldwide, royalty-free license to host, store, and use your User Content solely to provide and improve the Service for you.
Our Intellectual Property: NoteAi owns all rights, title, and interest in the Service, including its software, trademarks, logos, and technology. You may not use our brand assets without our prior written permission.
AI-Generated Output: You own the output generated by the Service (e.g., transcripts, summaries, mind maps) to the extent permitted by law. However, NoteAi makes no warranties regarding the accuracy, uniqueness, or reliability of AI-generated content. You are responsible for verifying all outputs before relying on them.
Subscription Plans: NoteAi offers free and paid subscription plans. Pricing and features are available on our pricing page.
Billing Cycle: Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless canceled. You authorize us to charge your payment method for the applicable fee.
Taxes: Unless stated otherwise, subscription fees do not include taxes. You are responsible for paying all applicable taxes associated with your purchase.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. You will not receive a refund for the remaining period, but you will retain access until the subscription ends.
Price Changes: We may change our pricing with 30 days notice. Price changes will apply to the next billing cycle.
7-Day Money-Back Guarantee: We strive for your satisfaction. If you are not satisfied with the Service, you may request a refund within 7 days of your initial purchase or activation.
Eligibility: To be eligible, you must submit a request explaining your reason.
Non-Refundable: After 7 days, all fees are non-refundable, regardless of usage.
How to Request: Email support@noteai.ai with your account email and receipt. Approved refunds are processed within 15 business days.
Privacy: Your use of the Service is governed by our Privacy Policy, which explains how we collect and use your data.
Data Security: We use industry-standard measures to protect your data. However, no service is 100% secure. You acknowledge that you provide your content at your own risk.
Data Processing: If you are in the EEA/UK and we process personal data on your behalf, our Data Processing Addendum (DPA) applies.
"As Is" Service: The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. No Guarantee: NoteAi does not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible for any data loss or corruption. AI Disclaimer: Artificial Intelligence is evolving. NoteAi does not guarantee that AI-generated summaries, transcripts, or translations will be perfectly accurate.
To the maximum extent permitted by law, NoteAi and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. In no event shall our total liability exceed the greater of $100 USD or the amount you paid us in the 12 months preceding the claim.
You agree to indemnify and hold harmless NoteAi and its team from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service, your User Content, or your violation of these Terms.
These Terms remain in effect while you use the Service. We may suspend or terminate your account at any time for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.
(a) Governing Law These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.
(b) Dispute Resolution (Arbitration) Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause.
The seat of the arbitration shall be Singapore.
The Tribunal shall consist of one arbitrator.
The language of the arbitration shall be English.
(c) Class Action Waiver To the fullest extent permitted by applicable law, you and NoteAi agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
(d) Assignment You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. NoteAi may assign or transfer these Terms, at its sole discretion, without restriction
(e) Entire Agreement These Terms and our Privacy Policy constitute the entire agreement between you and NoteAi regarding the Service and supersede all prior agreements or understandings.
(f) Changes to Terms We may modify these Terms at any time. If we make material changes, we will provide you with reasonable notice (e.g., by email or a notification within the Service) prior to the changes taking effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the new Terms.
